Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cx5 OS application and cx5labs.com (the "Service"), provided by Cx5 Consulting LLC ("Cx5 Labs," "we," "us"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you are authorized to bind that company to these Terms.

1. The Service

Cx5 OS is a business operating-system tool. We grant you a non-exclusive, non-transferable right to access and use the Service for your company's internal business purposes, subject to these Terms.

2. Accounts and access

You are responsible for keeping your sign-in credentials confidential and for activity under your account. Access is currently limited to invited customers.

3. Your data

As between you and Cx5 Labs, your company owns the business data it enters into the Service. You grant us the limited rights needed to host and process that data to provide the Service, as described in our Privacy Policy. You are responsible for the accuracy and lawfulness of the data you provide.

4. AI features

The Service may offer AI-assisted features that send data you submit to a third-party AI provider (Anthropic) using an API key that you or Cx5 Labs provides. AI output may be inaccurate or incomplete; you are responsible for reviewing it before relying on it. The Service is not a substitute for professional financial, legal, or accounting advice.

5. Acceptable use

You agree not to misuse the Service, including by attempting to access other customers' data, reverse-engineering the Service, interfering with its operation, or using it unlawfully.

6. Fees

Fees, if any, will be as agreed between you and Cx5 Labs in a separate order or agreement.

7. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.

8. Limitation of liability

To the fullest extent permitted by law, Cx5 Labs will not be liable for indirect, incidental, special, or consequential damages. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the twelve months before the claim arose (or US $100 if you paid nothing).

9. Termination

We may suspend or terminate access for breach of these Terms. You may stop using the Service at any time.

10. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.

11. Changes

We may update these Terms. Continued use of the Service after an update means you accept the revised Terms.
